We have advised on the multi-million pound sale of Gloucestershire businesses

02 June 2015

We have handled the multi-million pound sale of two Gloucestershire businesses, Window Widgets and Eclectic Systems, to investment group DW3 Products Group Limited.

The businesses were acquired from Dan Gill, who will now move into the role of chief executive in the DW3 window division. He will also be joining the group’s main board.

Window Widgets was founded in 2002 and is a leader in the supply and manufacture of key components for the window, door and conservatory sectors, whilst Eclectic has developed the revolutionary Residence 9 window system. The acquisition of these businesses will help DW3 to enhance its geographical reach and distribution capabilities.

Our corporate partners Paul Symes-Thompson and Theresa Grech led the team, which included corporate associate Peter Raybould, property partner Laurence Lucas, employment partner Matthew Clayton and employment solicitor Asim Khan. Tax advice was provided by Bespoke Tax. DW3 Products Group Limited instructed national advisers Pinsent Masons, KMPG, BDO and Altium Capital.

Head of our company commercial department, Paul Symes-Thompson said:

“This transaction was complex and required experienced, commercially-minded solicitors.  Our partner-led approach, and attention to his business needs, ensured Dan received a top level service and achieved his objectives despite many obstacles.”

Corporate partner, Theresa Grech added:

“We were delighted to support Dan Gill in the sale of his businesses. This was a good strategic move for both parties and will help DW3 to expand nationally and realise the next step in their ambitious growth plans. We wish Dan Gill, his team and his fellow investors every success for the future”.

Dan Gill commented:

“Having first-rate corporate advice and support from Willans was vital. We have used them for many years and they have always risen to the challenge. They understood what we needed and have stood shoulder-to-shoulder with us constantly delivering results.

“We were highly impressed by their knowledge and commitment to get the deal done, often against a backdrop of challenging timescales – service you’d expect from a City law firm.”

This deal builds on a busy period for the law firm’s corporate team which offers a range of services including joint ventures, MBOs and restructurings. This year’s Chambers UK legal directory notes the team as “Very professional, very knowledgeable and very efficient.”
